YOU MUST READ THE FOLLOWING TERMS OF USE ("Agreement"). YOUR CONTINUED USE OF THE SERVICE INDICATES YOU HAVE READ AND ACCEPTED THESE TERMS IN THEIR ENTIRETY.

1. General

1.1 This Agreement is a contract between you and 9 Squared, Inc., doing business as ZED USA ("ZED USA") and governs your use of the website, WAP Deck, Application, all Content (as defined below) and your activity in connection with all ZED USA websites and services (collectively the "Service"). By completing the registration process, if applicable, accepting this Agreement, or your continued use the Service, you represent that (i) you have read and understood this Agreement and agree to be bound by its terms and conditions and (ii) you are at least 18 years of age. If you do not agree to be bound by (or cannot comply with) any of the terms and conditions of this Agreement, do not check the acceptance box below and do not continue the registration process or attempt to access the Service.

1.2 ZED USA may from time to time amend, supplement or modify the terms of this Agreement. If you do not agree to be bound by or cannot comply with the Agreement as amended, your only remedy is to stop using the Service. You will be deemed to have accepted the Agreement as amended if you continue to use the Service. ZED USA, and its licensors, reserves all rights in the Content and Services, as prescribed by ZED USA and its licensors from time to time.

1.3 In order to use the Service, you may be required to register and provide certain information to ZED USA ("Registration Information"). You agree that you will use the Service only in the country or territory where you currently reside. You agree to provide current, complete and accurate Registration Information at the time you register and that you will update your Registration Information as necessary to keep it current, complete and accurate in the My Account Info area of the appropriate ZED USA Website. ZED USA will use your Registration Information in accordance with its privacy policy. Please review this privacy policy before you complete the registration process or attempt to use or access the Service. You agree that you will not allow others to use your member name, password and/or account. You agree to indemnify and hold ZED USA, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, harmless for any improper, unauthorized or illegal uses of your member name, password and/or your account. This includes illegal, unauthorized or improper use by anyone to whom you have given permission to use your member name, password and/or account.

1.4 ZED USA may in its sole discretion terminate this Agreement or suspend your account at any time. If ZED USA terminates this Agreement, or suspends your account for any of the reasons set forth in this paragraph, it shall have no liability or responsibility to you, and ZED USA will not refund any portion of your fees. You understand and agree that your cancellation of your account is your sole right and remedy with respect to any dispute with ZED USA. This includes, but is not limited to, any dispute related to or arising out of: (1) any term of this Agreement or ZED USA's enforcement or application of the same; (2) any policy or practice of ZED USA, including its Privacy Policy, or ZED USA's enforcement or application of these policies; (3) the Content; (4) your use of and/or ability to access and use the Service; and (5) the amount or type of fees, surcharges, applicable taxes, billing methods, or any change to the fees, applicable taxes, surcharges or billing methods. Except as set forth above with respect to inadvertent charges, in the event that your account or subscription is terminated or canceled, ZED USA will not refund any fees.
